9. Downloads, Templates, Prompts, and Tools

Evalu8-Evolve may provide free or paid resources, including downloads, worksheets, checklists, templates, prompts, AI tools, guides, workbooks, assessments, SOP drafts, policy drafts, and other materials.

Unless otherwise stated in writing, these materials are provided for your own internal business use only.

You may not:

Resell them
Republish them as your own
Share them publicly
Claim ownership of them
Use them to create a competing product or service
Upload them to public platforms for resale or redistribution
Remove copyright, branding, or attribution where included

You may adapt templates, prompts, and tools for your own internal business use.

You are responsible for reviewing and customizing all resources before use.

10. Intellectual Property

Evalu8-Evolve retains ownership of its pre-existing intellectual property, methods, frameworks, templates, prompts, and tools.

11. Client Materials

When you provide business documents, worksheets, data, recordings, transcripts, spreadsheets, strategy notes, team information, customer information, or other client materials, you confirm that you have the right to share those materials with Evalu8-Evolve.

You are responsible for ensuring that any personal information, confidential information, employee information, customer information, supplier information, financial information, or third-party content you share is provided lawfully and with appropriate authority.

Evalu8-Evolve will use client materials to deliver the agreed service, prepare recommendations, create deliverables, and maintain appropriate business records, unless otherwise agreed in writing.

Evalu8-Evolve aims to treat client business information as confidential.

To deliver the agreed service
With your consent

Applicable taxes may be added
Payment is due according to the invoice, checkout page, proposal, or agreement
Services may be paused if payment is overdue
Late payments may result in delayed delivery or suspension of work

17. Refunds, Cancellations, and Rescheduling

All sales are final.

Due to the nature of advisory services, coaching, consulting, digital tools, templates, downloads, workshops, diagnostics, strategy work, and custom client preparation, Evalu8-Evolve does not offer refunds once a purchase is made, a service is booked, a digital resource is accessed, a session is delivered, or work has started.

Unless otherwise stated in writing:

Digital downloads, templates, prompts, guides, workbooks, and tools are non-refundable once purchased, accessed, or delivered
Workshops, webinars, and group programs are non-refundable once registration is complete
Coaching, advisory, diagnostic, consulting, or strategy services are non-refundable once booked or once work has started
Deposits, retainers, first payments, and project payments are non-refundable
Missed sessions are not refundable
Custom work, including preparation, review, research, planning, drafting, analysis, and deliverable creation, is non-refundable
Fees are not refundable because of non-use, scheduling conflicts, change of mind, lack of implementation, dissatisfaction with outcomes, or failure to complete assigned activities

Sessions may be rescheduled with reasonable notice, subject to availability and the terms of the specific service or agreement.

Evalu8-Evolve may, at its sole discretion, offer a credit, reschedule, or alternative arrangement. Any such offer does not create an obligation to do so in the future.

Nothing in this section limits any rights that cannot be excluded under applicable law.

18. Funding, Grants, and Third-Party Programs

Evalu8-Evolve may share general information about possible funding, grants, subsidies, partner programs, or third-party support options.

We do not guarantee that you will qualify for, receive, or be approved for any funding, grant, reimbursement, subsidy, tax credit, or third-party program.

Funding rules, deadlines, eligibility, budgets, and approval criteria may change at any time.

You are responsible for confirming program details directly with the relevant funding body, government department, partner, or professional advisor.

19. Testimonials and Case Studies

If you provide a testimonial, review, endorsement, comment, success story, or feedback, we may ask for permission to use it in our marketing, website, proposals, social media, or other business materials.

To the fullest extent permitted by law, Evalu8-Evolve will not be liable for any indirect, incidental, special, consequential, punitive, exemplary, or economic damages, including lost revenue, lost profits, lost business opportunity, lost data, business interruption, reputational harm, implementation failure, system failure, funding denial, compliance issue, or decision-making loss.

Where liability cannot be fully excluded, Evalu8-Evolve’s total liability will be limited as follows:

For paid services, Evalu8-Evolve’s total liability will be limited to the amount paid by you for the specific service giving rise to the claim.

For free content, website use, downloads, resources, newsletters, webinars, tools, templates, prompts, or other unpaid materials, Evalu8-Evolve’s total liability will be limited to $100 CAD.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

24. Indemnification

You agree to indemnify and hold harmless Evalu8-Evolve, Sara Phelan, its contractors, service providers, affiliates, partners, and representatives from any claims, damages, losses, liabilities, costs, legal fees, or expenses arising from:

Your breach of these Terms
Your misuse of the website, resources, services, templates, prompts, diagnostics, assessments, or tools
Your violation of applicable law
Your infringement of another person’s rights
Your business decisions, actions, or implementation
Materials, data, or information you provide to us
Your use of AI tools, third-party platforms, software, systems, or automation
Actions taken by your employees, contractors, advisors, suppliers, or service providers based on your decisions

25. Dispute Resolution and Arbitration

If a dispute arises from these Terms, the website, resources, services, downloads, templates, prompts, tools, coaching, advisory work, consulting work, workshops, programs, invoices, or any relationship with Evalu8-Evolve, the parties agree to first make a reasonable effort to resolve the dispute informally.

If the dispute cannot be resolved informally, the dispute will be resolved by confidential, final, and binding arbitration.

The arbitration will be conducted by one arbitrator under the arbitration rules of the ADR Institute of Canada, unless the parties agree otherwise in writing.

The seat and legal place of arbitration will be New Brunswick, Canada.

The arbitration may be conducted virtually, by written submissions, by telephone, by video conference, or in person, as determined by the arbitrator.

The language of the arbitration will be English.

The arbitrator may award costs, legal fees, and expenses where permitted by law or where the arbitrator determines it is appropriate.

Nothing in this section prevents Evalu8-Evolve from seeking urgent court relief for unpaid fees, intellectual property misuse, confidentiality breaches, privacy or data security concerns, misuse of materials, or other urgent matters requiring immediate action.

Nothing in this section limits any rights that cannot be excluded under applicable law.

26. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Province of New Brunswick and the applicable federal laws of Canada.

Subject to the arbitration section above, any court proceeding related to these Terms, this website, or Evalu8-Evolve services will be handled in the courts of New Brunswick, Canada, unless otherwise required by applicable law or agreed in writing.

27. International Users

Evalu8-Evolve is based in Canada.

If you access our website, resources, downloads, programs, or services from outside Canada, you are responsible for ensuring that your use of our website, content, resources, tools, templates, and services complies with the laws that apply to you in your location.

If there is a conflict between these Terms and a signed client agreement, the signed client agreement will apply to the extent of the conflict.
